1.2 By accessing our Website, registering for services, or entering into a contract with us, you agree to these Terms.

1.3 These Terms apply in addition to any specific service agreement or schedule relating to particular services; where there is any conflict, the specific terms of that agreement will prevail.

1.4 We may amend these Terms at any time by publishing updated Terms on our Website and providing notice where required. Your continued use of our services following changes will signify your acceptance of the revised Terms.

2.2 We will provide services with reasonable skill and care, consistent with the standard for similar providers and in accordance with laws applicable to our operations.

2.3 We may engage subcontractors, agents or third-party service providers to fulfil part of our services. We remain responsible for their work in delivering our services.

3. Your Responsibilities

3.1 You must provide us with full, accurate and timely information, documents and instructions as reasonably required for us to deliver the services (including KYC/AML information, identity data, transaction instructions, etc.).

3.2 You shall ensure your use of our services complies with all applicable laws, regulations and requirements (tax, sanctions, data-protection, anti-money-laundering, foreign exchange control and other regulatory obligations).

3.3 You shall review any reports, statements or confirmations provided by us and notify us in writing of any material errors or omissions within 14 days of receipt.

3.4 You shall not use our Website or services for any unlawful, unethical or prohibited purpose.

4. Fees, Payment & Charges

4.1 Our fees, charges, interest rates (if applicable) and other payment terms will be set out in your service agreement, schedule or invoice.

4.2 You are responsible for all applicable taxes, duties, levies or other governmental charges (such as VAT, withholding taxes) arising in connection with your use of our services.

4.3 If you fail to pay any amount when due, we may charge interest at 4% and may suspend or terminate our services until payment is received.

5. Term, Suspension & Termination

5.1 The term of our engagement begins on the date specified in your service agreement or account opening and continues until the services are completed, terminated or otherwise ended under these Terms.

5.2 Either party may terminate the specific service arrangement by giving 30 days’ written notice, unless otherwise agreed.

5.3 We may immediately suspend or terminate all or part of our services if:

  • you fail to pay any amount when due;

  • you breach any material obligation under these Terms and do not remedy the breach within 14 days after notice;

  • you become insolvent, bankrupt or equivalent;

  • it becomes unlawful for us to provide the services or our regulatory authorisation is revoked.

5.4 Upon termination, you must pay all fees, costs and expenses incurred up to the date of termination, including third-party commitments made by us on your behalf.

6. Confidentiality & Data Protection

6.1 Each party shall keep confidential all information disclosed by the other that is marked or understood to be confidential, and shall not disclose such information to any third party without prior written consent, except as required by law or regulatory authority.

6.2 We will process any personal data in accordance with our Privacy Policy and applicable data protection laws.

6.3 You acknowledge we may aggregate and anonymise data from your use of services for internal business, training and service improvement purposes.

7. Intellectual Property

7.1 All intellectual property rights (IPR) in our systems, software, website, documentation, methods, deliverables and other materials (other than your pre-existing IP) remain our property or are licensed to us.

7.2 On full payment of our fees, we grant you a non-exclusive, non-transferable licence to use the deliverables for your internal purposes only, unless otherwise agreed in writing.

7.3 You shall not copy, distribute, sublicense, transfer or exploit our deliverables beyond the permitted use without our prior written consent.

8. Limitation of Liability

8.1 Except as required by applicable law (including liability for death or personal injury caused by our negligence), our total liability to you in connection with our services shall be limited to the total fees paid by you to us in the 12 months preceding the event giving rise to the claim.

8.2 We shall not be liable for any indirect, consequential, special or punitive loss (including loss of profits, data, business interruption or loss of opportunity), even if we were advised of the possibility of such loss.

8.3 We do not guarantee that our services or the Website will be uninterrupted, error-free or free from unauthorised access; we will use commercially reasonable measures but you accept risk of such limitations.

9. Use of Third-Party Service Providers & Suppliers

9.1 We may appoint third-party service providers, subcontractors or suppliers (including IT infrastructure, custodians, logistics, audit/legal advisers, payment processors) to assist in delivering our services.

9.2 We will perform due diligence and require such parties to comply with confidentiality, data-protection and performance obligations consistent with our standards.

9.3 You agree that services provided through or by such third parties via us shall be treated as if provided by us, and shall be subject to these Terms.

10. Cross-Border Operations & Data Transfers

10.1 If our services involve operations, funds or data outside the jurisdiction in which we operate, you acknowledge that there may be additional legal, regulatory, tax or compliance risks inherent in cross-border transactions.

10.2 We will apply appropriate safeguards for any cross-border data transfers in accordance with applicable data-protection laws and regulatory requirements.

11. Amendments to Terms

11.1 We may revise these Terms from time to time to reflect changes in law, regulation, our services or business practices.

12. Complaints & Dispute Resolution

12.1 If you have a complaint or dispute regarding our services, you should contact us at support@ptaltrexglobal.com. We will endeavour to investigate and respond in accordance with our internal complaints procedure.

12.2 If the dispute is not resolved amicably, you and we agree to attempt mediation or other alternative dispute resolution before pursuing court proceedings (unless injunctive relief is needed).

12.3 If resolution via ADR is not agreed or successful, the dispute shall be resolved by the courts of the jurisdiction specified in Section 13.

13. Governing Law & Jurisdiction

13.1 These Terms shall be governed by and construed in accordance with the laws of Republic of Indonesia as appropriate.

13.2 The parties irrevocably agree to submit to the exclusive jurisdiction of the courts of Republic of Indonesia in respect of any dispute arising under or in connection with these Terms.

14. General Provisions

14.1 Neither party shall be liable for failure or delay in performance of any obligation (other than payment) to the extent that such failure or delay is caused by circumstances beyond its reasonable control (“Force Majeure”).

14.2 These Terms, together with your service-agreement, account-opening documentation, schedule of fees, and any other agreement between us, constitute the entire agreement between the parties with respect to their subject-matter and supersede all prior discussions, understandings or communications.

14.3 No amendment to these Terms shall be effective unless in writing and signed by an authorised representative.

14.4 If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.
